Pikzels Intelligence Terms

This Pikzels Intelligence Agreement ("Agreement") is entered into by and between Pikzels LLC, a limited liability company organized under the laws of the State of Delaware, having its registered office at 8 The Green, Suite A, Dover, Delaware 19901 ("Pikzels," "we," "our," or "us") and you, the owner or authorized operator of a YouTube channel ("Channel Owner" or "you").
This Agreement governs your access to and use of Pikzels Intelligence, an AI-powered YouTube channel packaging and operations product. By connecting a YouTube channel to Pikzels Intelligence, enabling any Operating Mode, approving any action, or otherwise using Pikzels Intelligence, you agree to be bound by this Agreement. If you are accepting this Agreement on behalf of a company, creator team, agency, channel owner, or other legal entity, you represent that you have full authority to bind that entity to these terms.
BETA NOTICE
Pikzels Intelligence may be offered as a limited pre-release, alpha, beta, private beta, or early-access product. During any such period, features, Authorized Actions, models, Operating Modes, workflows, availability, usage limits, pricing, output, integrations, data processing, and support may change, be suspended, or be removed at any time. Pikzels Intelligence may contain bugs, errors, incomplete functionality, and other limitations. Pikzels makes no commitment regarding availability, support response times, feature continuity, roadmap, release timing, or suitability for mission-critical use. Channel Owner must not rely on Pikzels Intelligence as Channel Owner's sole method of channel supervision, approval, compliance review, or business decision-making. Pikzels may limit, pause, restrict, or discontinue beta access at any time.
01. DEFINITIONS
01.1 "Pikzels Intelligence" means Pikzels' AI-powered product, platform, tools, models, workflows, user interfaces, browser extension handoff features, agents, and related services for understanding, preparing, recommending, approving, applying, testing, reporting on, and recording YouTube channel packaging and related actions.
01.2 "Connected Channel" means a YouTube channel that Channel Owner connects to Pikzels Intelligence through Google OAuth, YouTube API Services, or another Pikzels-supported connection flow.
01.3 "Channel Owner" means the individual or entity that owns, controls, manages, or is authorized to operate a Connected Channel and that uses Pikzels Intelligence.
01.4 "YouTube Account" means the Google or YouTube account used to authorize access to one or more YouTube channels.
01.5 "Authorized Action" means an action from the then-current Pikzels Intelligence allowlist that Pikzels has specifically built, enabled, and made available for a Connected Channel.
01.6 "Operating Mode" means any mode or setting that controls whether Pikzels Intelligence waits for Channel Owner approval, automatically applies supported Authorized Actions, uses an additional verification process, pauses work, or otherwise determines when a proposed action may be applied.
01.7 "Approval Mode" means an Operating Mode in which Pikzels Intelligence prepares or recommends actions and waits for explicit Channel Owner approval before applying an Authorized Action to a Connected Channel.
01.8 "Autopilot Mode" means an Operating Mode in which Channel Owner affirmatively authorizes Pikzels Intelligence to automatically apply supported Authorized Actions to a Connected Channel when Pikzels' applicable gates, rules, permissions, usage checks, and safety checks allow the action. Autopilot Mode is available only if Pikzels offers it, Channel Owner enables it through a supported product flow, and Channel Owner accepts any then-current Autopilot disclosures or confirmations presented in the product.
01.9 "Verified Autopilot Mode" means an optional Operating Mode that Pikzels may make available in the future, in which Pikzels Intelligence may automatically apply supported Authorized Actions only after an additional independent verifier process reviews the proposed action. This mode is available only if Pikzels offers it and Channel Owner enables it.
01.10 "Channel Profile" means channel-specific context, analysis, positioning, style rules, title voice, thumbnail guidance, memory, preferences, and other information used by Pikzels Intelligence to prepare recommendations and actions.
01.11 "Launch Package" means a Pikzels Intelligence workflow or output that may include video context, thumbnails, titles, metadata recommendations, selected styles, risk flags, recommended pairings, approvals, and suggested next actions.
01.12 "Experiment" means a Pikzels-controlled workflow involving one or more thumbnails, titles, metadata options, or other supported packaging variants.
01.13 "Smart Balance" means Pikzels' usage, credit, quota, spend, allowance, or billing control system for Pikzels Intelligence or related services.
01.14 "Generated Content" means thumbnails, titles, copy, recommendations, reports, variants, notes, analysis, or other materials generated through Pikzels Intelligence.
01.15 "YouTube API Data" means data, content, metadata, analytics, credentials, tokens, or other information obtained through YouTube API Services or Google API Services in connection with Pikzels Intelligence.
02. INTELLIGENCE LICENSE AND USAGE TERMS
02.1 License Grant
Subject to this Agreement, Pikzels grants Channel Owner a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Pikzels Intelligence solely for Channel Owner's own Connected Channels and only through Pikzels-supported product flows.
02.2 Permitted Uses
Channel Owner may use Pikzels Intelligence to:
- Connect a YouTube channel that Channel Owner owns or is authorized to operate.
- Allow Pikzels Intelligence to read supported channel, video, thumbnail, metadata, and analytics information.
- Create Channel Profiles, Launch Packages, Generated Content, Experiments, reports, memory, and activity history.
- Approve or enable supported Authorized Actions for a Connected Channel.
- Review, pause, disconnect, or otherwise manage Pikzels Intelligence through product settings made available by Pikzels.
02.3 Usage Restrictions
Channel Owner shall not:
- Use Pikzels Intelligence on any YouTube channel that Channel Owner does not own or have full authority to operate.
- Use Pikzels Intelligence to violate YouTube Terms, Google policies, law, third-party rights, sponsorship obligations, disclosure requirements, platform policies, or this Agreement.
- Use Pikzels Intelligence for spam, harassment, abusive content, dangerous content, deceptive content, fraud, unlawful activity, or evasion of YouTube policy enforcement.
- Resell, rent, lease, sublicense, or provide managed access to Pikzels Intelligence without Pikzels' prior written consent.
- Reverse engineer, decompile, extract, copy, train from, benchmark for competitive purposes, or attempt to derive Pikzels' underlying models, prompts, agent logic, scoring systems, or proprietary tooling.
- Use Pikzels Intelligence, Channel Profiles, Generated Content, or outputs to develop or improve a product, service, model, or technology that competes with Pikzels.
- Circumvent usage limits, Smart Balance gates, permissions, security controls, approval flows, rate limits, maintenance pauses, or other safeguards.
- Introduce malware, harmful code, automated abuse, scraping, unauthorized access attempts, or disruption into Pikzels, Google, YouTube, or related systems.
03. SCOPE OF AUTHORIZED ACTIONS AND GUARDRAILS
03.1 Hand-Picked Allowlist
Pikzels Intelligence may perform only Authorized Actions from a hand-picked allowlist that Pikzels has built support for. Pikzels Intelligence is not an unrestricted YouTube account operator and does not have permission under this Agreement to do anything outside the applicable Authorized Action allowlist.
03.2 Current Authorized Actions
As of the effective date of this Agreement, the Authorized Action allowlist for Pikzels Intelligence may include:
- Reading public and Connected Channel metadata, video metadata, thumbnails, titles, descriptions, visibility/status information, and related channel state.
- Reading supported YouTube Analytics data for the Connected Channel and videos, including metrics made available through YouTube API Services and used solely to provide user-facing Pikzels Intelligence features.
- Generating thumbnail variants, title options, metadata recommendations, reports, memory entries, activity events, Channel Profiles, Launch Packages, and related Generated Content.
- Setting, replacing, or rotating a video thumbnail when a managed thumbnail asset is ready and the action is supported by Pikzels and YouTube API Services.
- Updating a video title or another specifically supported video-level metadata field that Pikzels presents for approval or enabled Autopilot Mode.
- Creating and running Pikzels-controlled thumbnail Experiments by applying supported thumbnail variants where supported by Pikzels and YouTube API Services.
- Recording action runs, before/after snapshots where available, blocked states, rollback targets, reports, and audit history.
03.3 Actions Pikzels Intelligence Cannot Perform
Pikzels Intelligence will not, under any Operating Mode, perform actions outside the applicable Authorized Action allowlist. Unless Pikzels separately builds, presents, and obtains any required consent for a future feature, Pikzels Intelligence cannot and will not:
- Delete a YouTube channel.
- Delete YouTube videos or channel assets.
- Upload videos through the YouTube API.
- Change channel-level settings.
- Change video privacy, visibility, audience, or publication status.
- Modify monetization settings, ad placement, mid-roll ad slots, Partner Program status, or revenue settings.
- Modify comments, community posts, live chat, playlists, memberships, sponsorships, or channel-level branding.
- Perform bulk destructive operations.
- Download, import, back up, cache, or store copies of YouTube audiovisual content from YouTube or through YouTube API Services. Any source video processed by Pikzels Intelligence must be separately uploaded or otherwise provided by Channel Owner through a Pikzels-supported file-access flow.
- Access or act on any Google account, YouTube account, YouTube channel, property, video, or asset outside the Connected Channel scope authorized by Channel Owner.
03.4 Future Authorized Actions
Pikzels may expand, reduce, rename, suspend, or modify the Authorized Action allowlist from time to time. Any new category of mutating YouTube action will apply only prospectively and only after Pikzels presents the feature in product settings, an approval flow, updated terms, or another consent flow that Pikzels determines is appropriate for the action.
03.5 Logs, Rollback, and Platform Limits
Pikzels aims to log Authorized Actions, make actions idempotent where applicable, capture rollback state where supported, and show activity history. These safeguards do not guarantee that an action will be accepted, preserved, reversed, or restored by YouTube, Google, Pikzels, or any third party. Rollback support depends on the underlying action, available data, product state, permissions, YouTube API behavior, and YouTube's then-current platform rules.
04. OPERATING MODES
04.1 Approval Mode
In Approval Mode, Pikzels Intelligence may prepare recommendations, Launch Packages, Experiments, and approval requests, but Pikzels Intelligence does not apply a mutating Authorized Action to a Connected Channel until Channel Owner explicitly approves that action through a supported Pikzels product flow.
04.2 Autopilot Mode
Autopilot Mode is optional and requires Channel Owner's separate, affirmative opt-in through a supported Pikzels product flow. Before Autopilot Mode is enabled, Pikzels may present the Connected Channel scope, the then-supported categories of Authorized Actions, applicable settings, available pause controls, usage implications, or other disclosures that Pikzels determines are appropriate. By enabling Autopilot Mode, Channel Owner authorizes Pikzels Intelligence to automatically apply supported Authorized Actions to the applicable Connected Channel when all applicable gates pass, including permissions, Connected Channel state, Smart Balance, maintenance state, channel rules, usage limits, YouTube quota, paused state, and Pikzels' internal action allowlists. Channel Owner is solely responsible for enabling, supervising, pausing, and disabling Autopilot Mode.
04.3 Verified Autopilot Mode
Verified Autopilot Mode is a future or optional Operating Mode that is available only if Pikzels offers it and Channel Owner enables it. If made available, it may use an additional independent verifier process before an Authorized Action is automatically applied and may consume additional Smart Balance. Verification may reduce the risk of an unwanted action, but it does not eliminate that risk and does not create any warranty, guarantee, or assumption of liability by Pikzels.
04.4 Mode Boundaries
No Operating Mode expands the Authorized Action allowlist. Autopilot Mode, Verified Autopilot Mode, verification checks, agent review, approval flows, usage gates, safety checks, and rollback support are safeguards only. They do not guarantee correct, desirable, profitable, policy-compliant, reversible, or error-free outcomes.
04.5 Switching and Pause
Channel Owner may switch available Operating Modes or pause Pikzels Intelligence through supported product settings. Mode changes and pauses apply prospectively only. A pause stops new Authorized Actions from starting but does not automatically cancel, reverse, or roll back actions that have already started or already been applied.
05. YOUTUBE TERMS AND COMPLIANCE
05.1 YouTube and Google Terms
Channel Owner acknowledges that Pikzels Intelligence uses YouTube API Services and Google API Services. By using Pikzels Intelligence, Channel Owner agrees to comply with the YouTube Terms of Service, the YouTube API Services Terms of Service, the YouTube API Services Developer Policies, the Google API Services User Data Policy, the Google Privacy Policy, and all applicable Google, YouTube, and platform policies.
05.2 Channel Authority
Channel Owner represents and warrants that Channel Owner owns, controls, or has all required rights and authority to connect, operate, authorize access to, approve actions for, and enable Operating Modes for each Connected Channel.
05.3 Content Responsibility
Channel Owner is solely responsible for all content, metadata, thumbnails, titles, descriptions, claims, disclosures, sponsorship obligations, policies, publication choices, and other materials on the Connected Channel, including any content or metadata created, recommended, approved, automatically applied, tested, or modified through Pikzels Intelligence.
05.4 No Affiliation
Pikzels is not affiliated with, endorsed by, sponsored by, or controlled by YouTube, Google, or any YouTube or Google affiliate. YouTube and Google may change, suspend, reject, delay, limit, or revoke API access, scopes, quota, data, or platform behavior at any time.
06. CHANNEL OWNER RESPONSIBILITIES
06.1 Account and Credential Security
Channel Owner is responsible for maintaining the security of its Pikzels account, Google account, YouTube Account, Connected Channel, team access, devices, and credentials. Pikzels will not ask Channel Owner for a Google or YouTube password; Channel Owner authorizes access through Google OAuth or another supported authorization flow.
06.2 Supervision and Monitoring
Channel Owner is responsible for supervising Pikzels Intelligence, reviewing recommendations and activity, monitoring Autopilot Mode or any future Operating Mode, checking the Connected Channel for unwanted outcomes, pausing or disconnecting Pikzels Intelligence if needed, and taking corrective action on YouTube or in Pikzels.
06.3 Prohibited Channel Uses
Channel Owner must not use Pikzels Intelligence to publish, promote, optimize, test, or manipulate content that is unlawful, infringing, misleading, abusive, spammy, harassing, dangerous, deceptive, policy-violating, or otherwise likely to harm Pikzels, YouTube, Google, viewers, creators, advertisers, rights holders, or third parties.
06.4 Prompt Review
Channel Owner must promptly review activity, reports, approvals, applied actions, YouTube channel state, emails, and warnings related to Pikzels Intelligence. If Channel Owner believes anything is incorrect, unwanted, unauthorized, or harmful, Channel Owner must promptly pause Pikzels Intelligence, disconnect the Connected Channel if appropriate, use available rollback or manual YouTube controls where possible, and contact Pikzels.
07. BILLING AND CREDITS
07.1 Separate Product
Pikzels Intelligence is a separate paid product from other Pikzels products, subscriptions, credits, plans, and public API balance unless Pikzels expressly states otherwise in a checkout, order form, product setting, or written offer.
07.2 Smart Balance and Allowance
Pikzels Intelligence may operate using Smart Balance, included usage, billing-period allowance, usage caps, spend caps, or other product-specific usage controls. If usage, quota, payment status, Smart Balance, or another gate cannot support additional work, Pikzels Intelligence may pause, block, skip, defer, or stop agent activity.
07.3 Additional Usage
Some features, including any future Verified Autopilot Mode, additional verifier processes, video analysis, thumbnail generation, reporting, or other high-cost workflows, may consume additional Smart Balance or usage allowance. Pikzels may change pricing, usage measurements, included allowances, or feature availability with notice as required by applicable law or product terms.
07.4 Payments
Channel Owner is responsible for all fees, taxes, payment obligations, failed payment recovery, and usage incurred through Pikzels Intelligence. All payments are final and non-refundable except as expressly stated by Pikzels in writing or required by applicable law.
08. INTELLECTUAL PROPERTY AND OWNERSHIP
08.1 Channel Owner Content and Limited Processing License
As between Channel Owner and Pikzels, Channel Owner retains its rights in its YouTube channel content, videos, thumbnails, titles, descriptions, branding, source files, transcripts, notes, screenshots, and other materials submitted to or accessed by Pikzels Intelligence (collectively, "Channel Owner Content"), subject to this Agreement and applicable law. Channel Owner grants Pikzels a limited, non-exclusive, worldwide, royalty-free, non-transferable except to Pikzels' service providers and subprocessors, license during the Term to access, host, copy, process, analyze, transform, store, display to Channel Owner, and create derivative materials from Channel Owner Content solely as necessary to provide, secure, support, maintain, and improve user-facing Pikzels Intelligence features, subject to this Agreement, applicable law, and applicable Google and YouTube policies.
08.2 Generated Content
As between Channel Owner and Pikzels, Channel Owner may use Generated Content created through Pikzels Intelligence for the Connected Channel, subject to this Agreement, applicable law, third-party rights, YouTube policies, and payment of applicable fees. Pikzels makes no representation that Generated Content is protectable, unique, non-infringing, platform-compliant, monetizable, or free from third-party claims.
08.3 Pikzels Rights
Pikzels retains all rights, title, and interest in Pikzels Intelligence, the Pikzels platform, software, agents, prompts, models, workflows, algorithms, scoring systems, templates, tools, interfaces, systems, documentation, and related technology. This Agreement does not transfer any Pikzels intellectual property except for the limited license described in Section 2.
08.4 Feedback
Any feedback, ideas, suggestions, corrections, or recommendations provided to Pikzels regarding Pikzels Intelligence may be used by Pikzels without restriction, notice, compensation, or obligation to Channel Owner.
08.5 Publicity and Results
Pikzels will not publicly identify Channel Owner or use Channel Owner's name, logo, likeness, Connected Channel, screenshots, analytics, revenue data, before-and-after results, testimonials, or other identifiable Channel Owner Content in marketing, advertising, case studies, social posts, sales materials, or public communications without Channel Owner's separate written or in-product opt-in. Nothing in this Section limits Pikzels' ability to use de-identified, aggregated, or anonymized usage, performance, or product data for internal operations, product measurement, business analytics, security, or improvement of user-facing Pikzels Intelligence features, subject to Section 9 and applicable law.
09. PRIVACY, DATA PROCESSING, AND SECURITY
09.1 Data Access
Pikzels Intelligence may access and process information needed to provide user-facing Pikzels Intelligence features, including Connected Channel identity, channel metadata, video metadata, thumbnails, titles, descriptions, visibility/status information, YouTube Analytics data made available through applicable YouTube or Google APIs, OAuth authorization information, source video files, signed source-file URLs, transcripts, notes, screenshots, extracted frames, Generated Content, and other information submitted by Channel Owner or made available through supported YouTube or Google APIs.
Pikzels Intelligence does not download, import, cache, back up, or store audiovisual content obtained from YouTube, whether public, private, or unlisted. Pikzels Intelligence may process source files or signed source-file URLs that Channel Owner separately provides through a supported file-access flow.
09.2 Data Storage
Pikzels may store information needed to operate Pikzels Intelligence, including Channel Profiles, memory, Launch Packages, Experiment history, activity logs, reports, generated assets, action runs, before/after snapshots where available, rollback targets, blocked-state history, source context, and support or billing records. Pikzels stores OAuth refresh tokens and similar credentials using restricted backend systems and does not expose raw refresh tokens in normal browser-visible state.
09.3 Limited Use, Service Providers & Model Processing
Pikzels uses YouTube API Data solely to provide, maintain, secure, support & improve the user-facing Pikzels Intelligence features that Channel Owner uses or enables. Pikzels does not currently request or use optional YouTube monetary Analytics permissions, estimated revenue opportunity features, or other independently calculated revenue or performance attribution metrics. Pikzels may disclose or make available the minimum necessary YouTube API Data, Channel Owner Content & related information to vetted service providers acting on Pikzels’ behalf, including cloud hosting, security, analytics, AI or model, transcription, image-processing & support providers, solely to provide, maintain, secure, support & improve user-facing Pikzels Intelligence features. Such service providers are subject to contractual confidentiality, security & data-use restrictions. Pikzels does not sell YouTube API Data, use YouTube API Data for serving ads, retargeting, personalized advertising, credit-worthiness or lending purposes, or train public or shared foundation models on Connected Channel YouTube API Data. Pikzels will provide any additional disclosure & obtain any additional consent required before using YouTube API Data for a materially different purpose.
09.4 Security and Human Access
Pikzels uses reasonable administrative, technical, and organizational safeguards designed to protect Pikzels Intelligence data. Human access to YouTube API Data is limited to personnel and purposes permitted by applicable policy, including providing or improving the user-facing feature, support, security, abuse prevention, debugging, legal compliance, or internal operations. Pikzels may request separate affirmative permission before a human reviews specific Channel Owner data where required by applicable policy or where Pikzels determines such permission is appropriate.
09.5 Disconnect, Revocation, and Deletion
Channel Owner may disconnect a Connected Channel through supported Pikzels product settings. Disconnecting a Connected Channel stops new syncs, analysis, scheduled work, and YouTube actions for that channel, but does not by itself revoke Google or YouTube authorization or delete existing Pikzels Intelligence data.
Channel Owner may revoke Pikzels' Google or YouTube authorization by contacting Pikzels through support or at data@pikzels.com. Upon a valid revocation request through Pikzels, Pikzels will programmatically revoke the relevant authorization token as soon as possible and delete the associated Google and YouTube API Data within seven (7) calendar days, subject only to retention permitted by applicable law and applicable Google or YouTube policies.
Channel Owner may also revoke Pikzels' Google or YouTube access through Google's Security Settings page. Once Pikzels detects a revocation through Google or can no longer verify the authorization, Pikzels will stop accessing data through that authorization and delete the associated Google and YouTube API Data within thirty (30) calendar days, subject to retention of separately held, limited data where permitted or required for billing, taxes, fraud prevention, security, dispute resolution, legal compliance, backup integrity, or enforcement of this Agreement.
09.6 YouTube Data Deletion Requests
Channel Owner may request deletion of a Connected Channel's stored Pikzels Intelligence data without deleting the entire Pikzels account by contacting Pikzels through support or at data@pikzels.com. A deletion request will disconnect the Connected Channel and delete the associated Pikzels Intelligence data as soon as possible and within seven (7) calendar days, subject only to retention of de-identified or aggregated data, or separately held, limited data where permitted or required for billing, taxes, fraud prevention, security, dispute resolution, legal compliance, backup integrity, or enforcement of this Agreement. Deleting stored data from Pikzels does not delete videos, analytics, metadata, or other data stored by YouTube or Google. To delete data from YouTube or Google, Channel Owner must use YouTube, YouTube Studio, Google account tools, or other Google-provided controls.
10. WARRANTIES AND DISCLAIMERS
10.1 Authority
Each party represents that it has authority to enter this Agreement. Channel Owner represents that it has all rights, permissions, consents, and authority required to connect and operate each Connected Channel through Pikzels Intelligence.
10.2 AI and Platform Risk
Pikzels Intelligence uses AI systems, automation, third-party services, YouTube API Services, Google API Services, model providers, and probabilistic workflows. Recommendations, outputs, checks, verifier processes, safety gates, reports, decisions, and actions may be inaccurate, delayed, incomplete, undesirable, non-compliant, rejected by YouTube, or harmful to Channel Owner's channel or business.
10.3 Disclaimers
PIKZELS INTELLIGENCE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIKZELS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AVAILABILITY, ERROR-FREE OPERATION, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
10.4 No Performance Guarantee
Pikzels does not guarantee any YouTube, algorithmic, business, financial, monetization, subscriber, watch-time, click-through-rate, views, revenue, sponsorship, growth, ranking, discovery, policy, legal, or reputational outcome. Any reports, recommendations, Experiment records, or other Pikzels Intelligence outputs are informational only and may be delayed, incomplete, inconclusive, or wrong.
10.5 Safeguards Are Not Guarantees
Any approval flow, Autopilot Mode gate, Verified Autopilot Mode verifier, independent AI review, allowlist, usage gate, maintenance pause, rollback state, audit log, report, warning, or other safeguard is intended to reduce risk only. Safeguards do not guarantee that Pikzels Intelligence will avoid unwanted outcomes, detect every issue, prevent every error, preserve every channel state, or successfully restore any prior state.
11. LIMITATION OF LIABILITY AND INDEMNIFICATION
11.1 No Liability for Channel Outcomes
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIKZELS SHALL NOT BE LIABLE FOR ANY ACTION, OMISSION, RECOMMENDATION, OUTPUT, APPROVAL REQUEST, AUTOPILOT MODE ACTION, VERIFIED AUTOPILOT MODE ACTION, DELAY, FAILED ACTION, ROLLBACK FAILURE, EXPERIMENT, REPORT, MEMORY, GENERATED CONTENT, OR OTHER RESULT OF PIKZELS INTELLIGENCE ON OR RELATING TO A CONNECTED CHANNEL, REGARDLESS OF OPERATING MODE AND REGARDLESS OF WHETHER CHANNEL OWNER MANUALLY APPROVED THE ACTION, ENABLED AUTOPILOT MODE, USED A VERIFICATION FEATURE, OR RELIED ON ANY PIKZELS SAFEGUARD.
11.2 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIKZELS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF VIEWS, IMPRESSIONS, CLICK-THROUGH RATE, WATCH TIME, SUBSCRIBERS, REVENUE, PROFIT, GOODWILL, DATA, MONETIZATION STATUS, PARTNER STATUS, SPONSORSHIP, BRAND DEAL, BUSINESS OPPORTUNITY, REPUTATION, CHANNEL STANDING, OR PLATFORM ACCESS, INCLUDING ANY DEMONETIZATION, SUSPENSION, CHANNEL STRIKE, CONTENT REMOVAL, COPYRIGHT CLAIM, POLICY ACTION, OR OTHER YOUTUBE, GOOGLE, VIEWER, ADVERTISER, SPONSOR, OR THIRD-PARTY OUTCOME.
11.3 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIKZELS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO PIKZELS INTELLIGENCE OR THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY CHANNEL OWNER TO PIKZELS SPECIFICALLY FOR PIKZELS INTELLIGENCE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.4 Channel Owner Responsibility
Channel Owner is solely responsible for monitoring the Connected Channel, reviewing and approving actions, enabling or disabling Operating Modes, pausing Pikzels Intelligence, using YouTube controls, initiating available rollback flows, manually correcting unwanted outcomes, and mitigating any harm caused by or related to Pikzels Intelligence.
11.5 Indemnification
Channel Owner agrees to indemnify, defend, and hold harmless Pikzels, its affiliates, officers, employees, contractors, agents, successors, and assigns from and against any claims, damages, liabilities, losses, penalties, fines, settlements, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
- Channel Owner's use of Pikzels Intelligence.
- Channel Owner's content, Connected Channel, YouTube Account, Generated Content, approvals, Operating Modes, Autopilot Mode, or other enabled automatic actions.
- Any action taken by Pikzels Intelligence that Channel Owner approved, enabled, configured, requested, or allowed through an Operating Mode.
- Any violation of YouTube Terms, Google policies, law, platform rules, sponsorship duties, advertising disclosures, third-party rights, or this Agreement.
- Any claim by YouTube, Google, a rights holder, viewer, advertiser, sponsor, agency, collaborator, employee, contractor, or other third party related to the Connected Channel or Pikzels Intelligence.
- Channel Owner's negligence, misconduct, fraud, unauthorized channel operation, security failure, or misuse of Pikzels Intelligence.
11.6 Legal Exceptions
Nothing in this Agreement excludes or limits liability to the extent that liability cannot be excluded or limited under applicable law. Any limitation or exclusion that is not enforceable in a particular jurisdiction applies only to the minimum extent required by that jurisdiction.
12. TERM, SUSPENSION, AND TERMINATION
12.1 Term
This Agreement begins when Channel Owner first accesses Pikzels Intelligence, connects a channel, approves an action, enables an Operating Mode, or otherwise uses Pikzels Intelligence, and remains in effect until terminated.
12.2 Channel Owner Termination and Disconnect
Channel Owner may stop using Pikzels Intelligence or disconnect a Connected Channel through supported product settings. Disconnecting a Connected Channel stops future access and agent activity for that channel but does not automatically cancel paid subscriptions, refund fees, delete all stored data, or reverse previously applied actions unless Pikzels expressly states otherwise or applicable law requires otherwise.
12.3 Pikzels Suspension or Termination
Pikzels may suspend, pause, limit, block, or terminate Pikzels Intelligence, any Connected Channel, any Operating Mode, or this Agreement at any time if Pikzels believes that Channel Owner breached this Agreement, misused Pikzels Intelligence, created legal or security risk, violated YouTube or Google policy, caused or may cause harm, exceeded usage controls, failed payment, lost required permissions, triggered maintenance or provider risk, or used Pikzels Intelligence in a way that may harm Pikzels, users, YouTube, Google, creators, viewers, advertisers, rights holders, or third parties.
12.4 Effect of Termination
Upon termination, Channel Owner's right to use Pikzels Intelligence ends. Pending actions may be cancelled, blocked, expired, or retained for audit. Pikzels may retain or delete Channel Profiles, memory, Launch Packages, Experiments, activity history, Generated Content, action runs, support records, billing records, security logs, and other data in accordance with Pikzels' privacy policy, Google and YouTube policy requirements, applicable law, and Pikzels' legitimate business needs. Sections intended by their nature to survive termination survive, including Sections 2.3, 5, 8, 9, 10, 11, 12.4, 13, and 14.
13. GENERAL PROVISIONS
13.1 Governing Law
This Agreement is governed by the laws of the State of Delaware, United States of America, without regard to conflict of law principles.
13.2 Dispute Resolution
Disputes shall first be addressed by good-faith negotiation. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration in Delaware, USA, under applicable arbitration rules, with proceedings conducted in English, except that Pikzels may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, security, platform integrity, or misuse of Pikzels Intelligence.
13.3 Modifications
Pikzels may amend this Agreement with notice through the product, website, email, account dashboard, or another reasonable method. Continued use of Pikzels Intelligence after changes become effective constitutes acceptance of the modified Agreement. If a new feature requires separate consent, Pikzels may require Channel Owner to accept updated terms or enable the feature before use.
13.4 Assignment
Channel Owner may not assign this Agreement without Pikzels' prior written consent. Pikzels may assign this Agreement to an affiliate or in connection with a merger, acquisition, reorganization, financing, sale of assets, or transfer of business.
13.5 No Agency
This Agreement does not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between Channel Owner and Pikzels. Pikzels Intelligence may act on a Connected Channel only through the authorization, settings, approvals, and Operating Modes enabled by Channel Owner.
13.6 Third-Party Beneficiaries
Except where YouTube, Google, or their affiliates have rights under applicable YouTube or Google terms, no third party has rights under this Agreement.
13.7 Severability
If any provision is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
13.8 Waiver and Remedies
Failure to enforce any provision does not waive that provision. Remedies are cumulative unless expressly stated otherwise.
13.9 Entire Agreement
This Agreement, together with any applicable order form, checkout terms, product-specific terms, privacy policy, and written addendum agreed by Pikzels, constitutes the entire agreement between Channel Owner and Pikzels regarding Pikzels Intelligence and supersedes prior or contemporaneous understandings regarding that subject matter.
13.10 Export Controls and Sanctions Compliance
Channel Owner represents and warrants that Channel Owner is not located in, under the control of, or a national or resident of any country or entity subject to U.S. sanctions or export restrictions, and will comply with all applicable export control and sanctions laws in connection with Pikzels Intelligence.
13.11 Counterparts and Electronic Acceptance
This Agreement may be accepted electronically. Electronic acceptance, continued use, channel connection, action approval, or Operating Mode enablement has the same effect as a signed written agreement.
